As proposed by the management Mr. Dr. Jens Kruse and Mr. Marcel Egger were elected to the supervisory board. Mr. Florian Schuhbauer was also appointed to the supervisory board in the place of the previous Chairman of the supervisory board, Mr. Alexis Fries. The previous members of the supervisory board, Mr. Christoph Gross and Mr. Wilken Freiherr von Hodenberg, did not stand for re-election. As new Chairman of the supervisory board Mr. Per Hornung Pedersen was elected.<\/p>\n<p>The shareholders also clearly approved the proposed resolution to grant discharge to the members of the board of management Markus Lesser (CEO), J\u00f6rg Klowat (CFO) and Kurt St\u00fcrken (COO). By a clear majority, the shareholders also agreed to grant discharge to the supervisory board and to the appointment of the auditors Deloitte GmbH Wirtschaftspr\u00fcfungsgesellschaft, Hamburg.<\/p>\n<p>The proposals of the board of management and the supervisory board regarding the creation of new authorised capital, on the authorisation to issue bonds, on the creation of new contingent capital and the authorisation to acquire treasury shares were also agreed. Juni 2017 \u2013 Die Hauptversammlung des Windpark-Spezialisten PNE WIND AG hat am 31. Mai 2017 unter anderem eine erh\u00f6hte Dividende beschlossen sowie \u00fcber die Besetzung von drei Aufsichtsratssitzen abgestimmt.\r\n\r\nDie Aktion\u00e4re stimmten mit gro\u00dfer Mehrheit f\u00fcr den Vorschlag von Vorstand und Aufsichtsrat, eine Dividende in H\u00f6he von 0,04 Euro sowie eine Sonderdividende in H\u00f6he von 0,08 Euro je gewinnberechtigter St\u00fcckaktie auszuzahlen.\r\n\r\nDie Aktion\u00e4re stimmten dar\u00fcber hinaus \u00fcber die turnusm\u00e4\u00dfige Neubesetzung von drei Aufsichtsratssitzen ab. In den Aufsichtsrat gew\u00e4hlt wurden, wie von der Verwaltung vorgeschlagen,\u00a0 Herr Dr. Jens Kruse und Herr Marcel Egger. Zudem wurde Herr Florian Schuhbauer anstelle des bisherigen Aufsichtsratsvorsitzenden Herrn Alexis Fries in den Aufsichtsrat gew\u00e4hlt. Die bisherigen Aufsichtsratsmitglieder Herr Christoph Gross und Herr Wilken Freiherr von Hodenberg traten nicht erneut zur Wahl an. Zum neuen Vorsitzenden des Aufsichtsrates wurde Per Hornung Pedersen gew\u00e4hlt.\r\n\r\nDeutliche Zustimmung der Aktion\u00e4re fand zudem der Beschlussvorschlag zur Entlastung der Vorstandsmitglieder Markus Lesser (CEO), J\u00f6rg Klowat (CFO) und Kurt St\u00fcrken (COO). Die Aktion\u00e4re beschlossen ebenfalls mit einer klaren Mehrheit den Aufsichtsrat zu entlasten und die Wahl des Abschluss- und Konzernabschlusspr\u00fcfers Deloitte GmbH Wirtschaftspr\u00fcfungsgesellschaft, Hamburg.\r\n\r\nBeschlossen wurden auch die Vorschl\u00e4ge von Vorstand und Aufsichtsrat zur Schaffung eines neuen Genehmigten Kapitals, zur Erm\u00e4chtigung zur Ausgabe von Schuldverschreibungen und zur Schaffung eines neuen Bedingten Kapitals sowie zur Erm\u00e4chtigung zum Erwerb eigener Aktien.
