This measure is intended to increase the capital stock of the company by conversion of the capital reserves. As a result of this measure, each KPS shareholder will receive an additional one (1) new share for every ten (10) shares. The shareholders are therefore not required to make a payment for the shares (free shares).<br \/>\nIf the Annual General Meeting of KPS AG agrees to this measure, the capital increase will be carried out by the issue of 3,401,100 new registered no-par value ordinary shares. This measure does not exert any influence on the level of the shareholders\u2019 equity in the company, rather it represents a reallocation within the components of the shareholders\u2019 equity. Overall the capital stock will then increase to 37,412,100 euros, divided into 37,412,100 no-par shares. The new no-par shares carry dividend rights to a share in profits from 1 October 2015.<\/p>\n<\/div>\n<\/div>\n<div class=\"small-12 large-6 columns\">\n<div class=\"text parbase section\">\n<p>In order to enable the planned smooth issue ratio of 10:1 for the intended capital increase from company funds, the Executive Board of KPS AG today also passed a resolution today on the basis of the authorization resolution approved by the Annual General Meeting held on 27 March 2015, to redeem seven (7) acquired own shares in accordance with Article 71 Section 1 No. 8 Stock Corporation Law (AktG) with a reduction of the capital stock of the company. The redemption reduces the capital stock of the company by 7.00 euros from 34,011,007.00 euros to 34,011.000.00 euros. April 2016 vorzuschlagen, zus\u00e4tzlich zu einer Dividendenzahlung von 30 Cent je Aktie, eine Kapitalerh\u00f6hung aus Gesellschaftsmitteln zur Ausgabe von sog. \u201eGratisaktien\u201c zu beschlie\u00dfen. Dabei soll durch die Umwandlung von Kapitalr\u00fccklagen das Grundkapital der Gesellschaft erh\u00f6ht werden. Im Zuge dieser Ma\u00dfnahme soll jeder KPS-Aktion\u00e4r fu\u0308r zehn (10) bestehende Aktien zus\u00e4tzlich eine (1) neue Aktie erhalten. Eine Einlage seitens der Aktion\u00e4re ist dabei nicht zu leisten (Gratisaktien).\r\n\r\nIm Falle der Zustimmung durch die Hauptversammlung der KPS AG wird die Kapitalerh\u00f6hung durch Ausgabe von 3.401.100 neuen, auf den Namen lautenden St\u00fcckaktien durchgef\u00fchrt. Diese Ma\u00dfnahme hat keinen Einfluss auf die H\u00f6he des Eigenkapitals der Gesellschaft, es findet lediglich eine Umschichtung innerhalb der Komponenten des Eigenkapitals statt. Insgesamt wird sich das Grundkapital auf dann 37.412.100 Euro, eingeteilt in 37.412.100 St\u00fcckaktien, erh\u00f6hen. Die neuen St\u00fcckaktien sind ab dem 1. Oktober 2015 gewinnbezugsberechtigt.\r\n\r\n<\/div>\r\n<\/div>\r\n<div class=\"small-12 large-6 columns\">\r\n<div class=\"text parbase section\">\r\n\r\nUm das f\u00fcr die beabsichtigte Kapitalerh\u00f6hung aus Gesellschaftsmitteln vorgesehene glatte Ausgabeverha\u0308ltnis von 10:1 zu erm\u00f6glichen, hat der Vorstand der KPS AG ebenfalls heute auf der Grundlage des Erm\u00e4chtigungsbeschlusses der Hauptversammlung vom 27. M\u00e4rz 2015 beschlossen, sieben (7) erworbene eigene Aktien nach \u00a7 71 Abs. 1 Nr. 8 AktG unter Herabsetzung des Grundkapitals der Gesellschaft einzuziehen. Das Grundkapital der Gesellschaft reduziert sich durch die Einziehung von 34.011.007,00 Euro um 7,00 Euro auf 34.011.000,00 Euro. Der rechnerische Anteil am Grundkapital je Aktie bleibt mit 1,00 Euro unver\u00e4ndert.\r\n\r\nUnterf\u00f6hring, 29.
