The acquisition agreement is to be executed soon. Both companies are active in the online food retailing area. Gourmondo and ES Food operate more than 10 domains, including gourmondo.de, gourmondo.nl, alnatura-shop.de, lebensmittel.de and supermarkt.at. Moreover, ES Food operates an advanced, state-of-the-art automated warehousing system.<\/p>\n<p>At the same time, Delticom is to acquire Ringway GmbH, an 80 percent subsidiary of ES Food that has developed and markets an innovative 3D online shop.<\/p>\n<p>Concurrently with the execution of the acquisition agreement, Delticom AG will acquire a shareholder loan granted to Gourmondo Food GmbH, as well as software rights required for the operation of the online eFood shops.<\/p>\n<p>The sellers are Pr\u00fcfer GmbH, Hannover, Germany, and direct or indirect wholly-owned subsidiaries of Pr\u00fcfer GmbH.<\/p>\n<p>The acquisition price amounts to a total of EUR 30 million, with EUR 18.5 million being paid in cash, EUR 1.5 million being rendered through assuming the bank borrowings of Gourmondo, and EUR 10 million rendered through issuing new Delticom shares to one of the sellers, Seguti GmbH (a wholly-owned subsidiary of Pr\u00fcfer GmbH). The value of the new Delticom shares was calculated on the basis of the three-month weighted average price of the Delticom share up to and including yesterday.<\/p>\n<p>The Management and Supervisory boards of Delticom AG have today approved the issuing of the new shares against non-cash capital contributions through partial utilization of the Authorized Capital 2011.<\/p>\n<p>Through this acquisition, the European leader of the online automotive business is reinforcing his logistic competences and is expanding into promising sections of efood.<\/p>\n<p>Pr\u00fcfer GmbH currently holds directly or indirectly a total of 2,990,227 shares (25.03 % of the share capital) of Delticom AG, and consequently comprises a shareholder with significant influence over the Group according to IAS 24. This equity interest is attributable to Delticom Management Board member Dr. Andreas Pr\u00fcfer pursuant to Section 22 (1) Clause 1 No. 1 of the German Securities Trading Act (WpHG).<\/p>\n<p>In connection with the aforementioned transaction, an agreement has been reached between Pr\u00fcfer GmbH and Binder GmbH, whereby Pr\u00fcfer GmbH is to acquire 800,000 of the Delticom shares held by Binder GmbH for an acquisition price of EUR 25 per share (total acquisition price: EUR 20 million). Pr\u00fcfer GmbH is thereby reinvesting the total EUR 18.5 million cash that the sellers receive from Delticom into Delticom shares, and Pr\u00fcfer GmbH will acquire further Delticom shares worth EUR 1.5 million.<\/p>\n<p>Following the execution of the transaction and the share purchase agreement as well as the entry of the non-cash capital increase in the commercial register, Pr\u00fcfer GmbH will hold directly or indirectly 4,303,308 Delticom shares (34,57 % of the share capital), and Binder GmbH will hold 2,186,861 Delticom shares (17,55 % of the share capital). Der Vollzug des Kaufvertrags soll kurzfristig erfolgen. Die beiden Gesellschaften sind im Bereich des Online-Handels f\u00fcr Lebensmittel t\u00e4tig. Gourmondo und ES Food betreiben mehr als 10 Domains, darunter gourmondo.de, gourmondo.nl, alnatura-shop.de, lebensmittel.de und supermarkt.at. Die ES Food unterh\u00e4lt dar\u00fcber hinaus ein hochmodernes automatisiertes Lagersystem.\r\n\r\nMiterworben wird die Ringway GmbH, eine 80% ige Tochtergesellschaft der ES Food, welche einen neuartigen 3D-Onlineshop entwickelt hat und vermarktet.\r\n\r\nGleichzeitig mit dem Vollzug des Kaufvertrages wird die Delticom AG ein der Gourmondo Food GmbH gew\u00e4hrtes Gesellschafterdarlehen sowie die f\u00fcr den Betrieb der eFood Online-Shops erforderlichen Software-Rechte k\u00e4uflich erwerben.\r\n\r\nVerk\u00e4uferinnen sind die Pr\u00fcfer GmbH, Hannover, und direkte oder indirekte 100 %ige Tochtergesellschaften der Pr\u00fcfer GmbH.\r\n\r\nDer Kaufpreis betr\u00e4gt insgesamt 30 Mio. EUR. Davon werden 18,5 Mio. EUR in bar bezahlt, 1,5 Mio. EUR durch \u00dcbernahme einer Bankverbindlichkeit von Gourmondo und 10 Mio. EUR durch Ausgabe neuer Delticom Aktien an eine der Verk\u00e4uferinnen, die Seguti GmbH (eine 100 %ige Tochter der Pr\u00fcfer GmbH). Der Wert der neuen Delticom Aktien wurde auf der Basis des dreimonatigen gewichteten Durchschnittskurses der Delticom Aktie bis einschlie\u00dflich gestern berechnet.\r\n\r\nDie Ausgabe der neuen Aktien gegen Sacheinlage durch teilweise Ausnutzung des genehmigten Kapitals 2011 wurde heute von Vorstand und Aufsichtsrat der Delticom AG beschlossen.\r\n\r\nDurch diese Akquisition verst\u00e4rkt der f\u00fchrende europ\u00e4ische Onlineh\u00e4ndler im Bereich Automobilzubeh\u00f6r seine Kompetenzen im Bereich Logistik und expandiert in vielversprechende Bereiche des Online-Lebensmittelhandels.\r\n\r\nDie Pr\u00fcfer GmbH h\u00e4lt derzeit insgesamt unmittelbar bzw. mittelbar 2.990.227 Aktien (25,03 % des Grundkapitals) der Delticom AG und ist somit eine Anteilseignerin mit ma\u00dfgeblichem Einfluss auf den Konzern gem\u00e4\u00df IAS 24.
